Terms of Service
These terms govern your access to and use of the QED Academy website, courses, and services. Please read them carefully.

1. Agreement to these Terms
These Terms of Service (the “Terms”) form a binding agreement between you and QED Analytical, LLC (“QED Academy,” “we,” “us,” or “our”) governing your access to and use of our website, online courses, educational materials, consulting services, and any related content or tools (collectively, the “Services”). By accessing or using the Services, creating an account, submitting a request, or purchasing a course, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Disclaimer, and Refund Policy, each incorporated by reference. If you do not agree, you must not use the Services.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. Courses, license, and intellectual property
All content provided through the Services — including courses, videos, text, code, models, templates, graphics, and materials — is owned by QED Academy or its licensors and is protected by intellectual property laws. Upon purchase, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access the purchased course for your own individual, non-commercial educational use. You may not copy, reproduce, distribute, resell, sublicense, publicly display, share credentials for, or create derivative works from any content without our prior written consent.
5. Payments and refunds
Prices are stated at the point of purchase. Payments are processed by our third-party payment processor; by purchasing, you also agree to that processor's terms. Refunds, where available, are governed by our Refund Policy. You agree not to initiate chargebacks or payment disputes without first contacting us to resolve the issue.
6. Acceptable use
You agree not to:
- use the Services for any unlawful, infringing, or fraudulent purpose;
- share, resell, or provide unauthorized access to purchased content or your account;
- attempt to gain unauthorized access to, disrupt, or reverse-engineer the Services or their security;
- upload malicious code or use automated means to scrape or harvest content or data; or
- use any content or output in a manner that violates applicable laws or regulations.
7. Educational and informational purpose only — no professional advice
The Services, including all courses, materials, analyses, models, and consulting deliverables, are provided for general educational and informational purposes only. They do not constitute financial, investment, lending, credit, actuarial, accounting, tax, legal, regulatory, or other professional advice, and do not create any advisory or fiduciary relationship. You are solely responsible for independently validating any model, analysis, or recommendation; for your own business, lending, and compliance decisions; and for ensuring compliance with all laws and regulations applicable to you. 8. Consulting services
Any consulting engagement is subject to a separate written agreement or statement of work. Unless expressly stated in that agreement, all consulting deliverables are provided on an “as-is” basis without guarantee of any particular result, outcome, accuracy, or regulatory acceptance, and the limitations and disclaimers in these Terms apply to them.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT, MODEL, OR RESULT IS ACCURATE, COMPLETE, OR WILL ACHIEVE ANY PARTICULAR OUTCOME.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL QED Academy, QED Analytical, LLC, OR THEIR RESPECTIVE OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless QED Academy, QED Analytical, LLC, and their owners, members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any law or third-party right, or any decision or action you take based on the Services or their content.
12. Third-party services and links
The Services rely on and may link to third-party services (for example, hosting, authentication, payment processing, and video hosting). We are not responsible for the content, policies, or practices of any third-party service, and your use of them is at your own risk and subject to their terms.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to their personal jurisdiction and venue. To the fullest extent permitted by law, any claim must be brought within one (1) year after it arises, and you and we each waive any right to a jury trial and to participate in a class action.
14. Changes and termination
We may modify these Terms at any time by posting the updated version, and your continued use of the Services after changes take effect constitutes acceptance. We may suspend or terminate the Services, or your access, at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and us regarding the Services, except where a separate signed consulting agreement applies.
